Why do you need a whistleblower policy?

If you are a public company, large proprietary company* or a trustee of registrable superannuation entities, the corporations act requires you to have a whistleblower policy. Even if you are not required to have a policy, you may choose to do so. The benefits of a well-drafted whistleblower policy are:

  • It is a means of finding out about incidents that may not otherwise come to light;

  • It helps detect fraud or systemic problems within the business; and

  • It shows that you care about your employees’ well-being and the integrity of the business. 

*A proprietary company (Pty Ltd) is classified as ‘large’ if it satisfies at least two of the following criteria:

  • $50 million or more in consolidated revenue for the financial year of the company and the entities it controls;

  • $25 million or more in consolidated gross assets at the end of the financial year of the company and the entities it controls;

  • The company and the entities it controls have 100 employees or more at the end of the financial year.​

Why do you need an external whistleblower service?

People are afraid to report wrongdoing within their company for fear of reprisals. An external reporting service:

  • provides a direct conduit into decision-makers within the company;

  • allows an objective (unemotional) assessment of the conduct before reacting; and

  • maintains a whistleblower's anonymity.
